Opportunity to cancel the general meetings of companies in the earthquake zone
The Ministry of Commerce allowed the cancellation of the general assemblies of the companies in the provinces affected by the earthquake.
According to the information obtained by the AA correspondent, the General Directorate of Internal Trade of the Ministry of Commerce prepared a letter on the measures to be taken regarding the company’s general assembly meetings due to the earthquakes in Kahramanmaraş and sent it to the cameras. and exchanges with TOBB.
In this context, the Turkish Commercial Code stipulates that ordinary general meetings of joint-stock and limited companies are held within three months after the end of each period of activity.
While companies generally prefer the calendar year as the operating period, this requires completion of regular general assembly meetings by the end of March.
According to the article, Adana, Adıyaman, Diyarbakır, Gaziantep, Hatay, Kahramanmaraş, Kilis, which were affected by the earthquakes that took place on February 6 and which were declared a state of emergency for three months from 01:00 on February 8, by the Decision of the President It was deemed necessary to take additional measures for general meetings of joint-stock and limited companies based in Malatya, Osmaniye and Şanlıurfa, and for companies planning to hold general meetings in these provinces earlier.
Following the letter sent by the Ministry of Commerce, it was decided to include Elazig among the provinces considered as disaster areas. In this context, it is expected that companies in the province in question can also benefit from the opportunity provided.
NO NEED FOR A GENERAL ASSEMBLY MEETING DUE TO DELAY
The general assemblies of public limited companies and limited companies whose registered office is located in said provinces or that are called by the administrative bodies to hold the general assembly in said provinces before February 6 in accordance with the law and the bylaws, without waiting to the general assembly assembly to convene for the purpose of adjournment, will be decided by the authorized management. It is possible to cancel at the request of the members of the body.
It is considered that it would be appropriate for advertisement requests within this scope to be dealt with by the Directorate of the Turkish Business Registry Gazette.
MOST ESTABLISHED COMPANIES IN GAZİANTEP
According to recently announced TOBB statistics on established and closed businesses, a total of 142,214 businesses and cooperatives were established in 2022. The number of limited companies incorporated in this period was 122,409 and the number of public limited companies was 17,798.
In this period, 2,803 in Adana, 363 in Adıyaman, 1,764 in Diyarbakır, 3,304 in Gaziantep, 1,742 in Hatay, 837 in Kahramanmaraş, 120 in Kilis, 579 in Malatya and Osmaniye. 331 and 1889 companies were established in Şanlıurfa. Last year, 397 companies were established in Elazig, which was later included in the earthquake-affected provinces.
